You can earn EIP (Extra Inquiry Package) credits or Alibaba.com's Gold Supplier Membership package ("GSM Package") fee credits by recommending free members of Alibaba.com to subscribe for GSM Package available at https://seller.alibaba.com/memberships/index.html (the "Program") on the terms and conditions set out herein:
1. Program Provider: Alibaba.com Singapore E-Commerce Private Limited, a company incorporated in Singapore with registered office address at 10 Collyer Quay # 10-01, Ocean Financial Centre, Singapore 049315 (the "Program Provider").
2. Eligibility: You must be a registered member of Alibaba.com (the "Members"). Employees, officers and directors of the Program Provider and their respective parents, affiliated and subsidiary companies, any company involved in the Program, together with their agents and immediate family members are not eligible to enter.
3. Program Period: The Program Period starts on 2016 May 16th at 00:00:00 PST and ends on 31 March 2017 at 23:59:59 PST.
4. General Rules:
a. During the Program Period, Members (each, a "Referring Member") may refer any other Member who has not subscribed for any GSM Package (each, a "Free Member") to subscribe for the same. Each successful referral will entitle the Referring Member to EIP credits or GSM Package membership fee credits worth US$100 (the "Credits").
b. A Referring Member is required to access referral.alibaba.com to receive its unique URL on referral.alibaba.com ("Referring Member's URL") which it shall provide to Free Members it wishes to refer. A Free Member is required to access the Referring Member's URL to complete its subscription for GSM Package.
c. A referral will only be deemed successful if the Free Member successfully completes subscription for a GSM Package by 31 March 2017 through the Referring Member's URL (each, a "Referred GSM Member") by completing the relevant verification procedures and activating its Gold Supplier Membership account. The Program Provider shall have the sole discretion to determine if a referral is successful.
d. A Referred GSM Member shall also be entitled to enjoy credits worth US$50 off future EIP or GSM Package membership purchases after it activates its Gold Supplier Membership account.
e. The Credits shall be awarded to the Referring Member within 15 days after a Referred GSM Member activates its Gold Supplier Membership account.
f. If the Referring Member is an existing subscriber of a GSM Package, it may use the Credits to purchase EIP services or to off-set its GSM Package renewal fee in the following year.
g. If the Referring Member is a Free Member, the Credits may be used to subscribe for GSM Package.
h. A Referring Member may check the status of its referrals through referral.alibaba.com. The different types of status that may be displayed are as follows:
(i) Unregistered;
(ii) Conflict, system checking;
(iii) Failed, recommended by others;
(iv) Untargeted click;
(v) Failed, paid for the service;
(vi) Effective referral, need attention;
(vii) Expired;
(viii) Succeed;
(ix) Succeed, credits sent.
i. All referrals shall only be made with the prior consent of the Free Member, and such Free Member shall also have expressly consented to being contacted directly by staff of the Program Provider for marketing and promotion of the GSM Packages.
5. In the event that the Program is ceased or suspended by the relevant authorities or due to serious network attack or system fault, the Program may be terminated prematurely. Such situation will be classified as a force majeure event and the Program Provider shall not be liable for any damages or claims that arise out of the event.
6. Program Provider reserves the right to disqualify any Referring Member from participating in the Program or retract any Credits due to any breach by the Referring Member of these Official Rules, or any complaint against the Referring Member for any malicious or unauthorized referrals or other misconduct.
7. Disputes: You acknowledge and agree that the Program Provider or any of its affiliates shall not be responsible, and shall have no liability to it or anyone else for any dispute or claim that arises out of your participation in this Program.
8. General Rules: By participating in this Program, you agree to be bound by these Official Rules. The Program Provider reserves the right in its sole and absolute discretion to cancel, modify or suspend the Official Rules or this Program in whole or in part, without liability to you. The amended and restated Official Rules shall be effective immediately upon posting on Alibaba.com. After posting of the amended and restated Official Rules, your continued participation in this Program shall be deemed to be your acceptance of the amended and restated Official Rules. The Program Provider reserves the right to disqualify any participant in its sole discretion.
9. Disclaimer: THE PROGRAM PROVIDER DOES NOT REPRESENT ANY MEMBER AND WILL NOT BE RESPONSIBLE FOR ANY DAMAGES OR LOSSES SUFFERED BY A MEMBER DUE TO ANY OTHER MEMBER.
10. Indemnity: By participating in this program, you agree to indemnify Program Provider and its affiliates and their respective employees, agents and representatives and to hold them harmless, from any and all losses, damages, actions, claims and liabilities (including legal costs on a full indemnity basis) which may arise, directly or indirectly, from your breach of any of these Official Rules pursuant to your participation in the program. Program Provider reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with Program Provider in asserting any available defenses.
11. Limitation of liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE PROGRAM PROVIDER BE LIABLE TO ANY MEMBER FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH THE MEMBER'S PARTICIPATION IN THE PROGRAM, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT PROGRAM PROVIDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE.
12. Governing Law: You agree that the Program is governed, interpreted and enforced by the laws of Hong Kong, without regard to its conflict of laws principles. Any and all legal actions, claims or proceedings arising out of, or in connection with this Program must be brought in a court of competent jurisdiction in Hong Kong.
